SOIREENEWS REAL ESTATE TERMS AND CONDITIONS

Effective Date: 07/29/2026
Last Updated: 07/29/2026

1. Acceptance of These Terms

These Terms and Conditions govern your access to and use of the Soireenews Real Estate website,
mobile services, property-listing tools,
communication features, advertisements, and related services, collectively referred to as the “Platform.”
By visiting the Platform, creating an account,
publishing a listing, contacting an advertiser, purchasing a service, or otherwise using any Platform feature,
you confirm that you have read, understood,
and agreed to these Terms. If you do not accept these Terms, you must discontinue your use of the Platform.

2. About the Platform

Soireenews Real Estate provides an online marketplace through which property owners, landlords,
property managers, developers, brokers,
agents, buyers, renters, and other users may advertise, discover, and discuss real estate opportunities.
Unless expressly stated otherwise,
Soireenews Real Estate does not own, sell, lease, manage, inspect, appraise, finance, insure, or guarantee
the properties advertised by users.
The Platform generally provides advertising, search, communication, and information services and is not automatically
a party to any transaction arranged between users.

3. No Brokerage or Professional Relationship

Use of the Platform does not create a broker-client, agent-client, fiduciary, partnership,
employment, joint-venture, attorney-client,
lender-borrower, or other professional relationship between you and Soireenews Real Estate.
Property information published on the Platform is
provided for general advertising and informational purposes and must not be treated as legal,
financial, tax, investment, appraisal, inspection,
insurance, or real estate advice. Users should obtain guidance from appropriately licensed professionals
before making significant property-related decisions.

4. Eligibility

You must be at least eighteen years old and legally capable of entering a binding agreement to create an
account or conduct property-related business through the Platform.
If you use the Platform for a company, brokerage, partnership, property owner, landlord, or another
organization, you represent that you are authorized to accept
these Terms on that party’s behalf. We may request reasonable information to confirm your identity,
authority, age, professional status, or eligibility.

5. User Accounts

Certain services may require account registration. You agree to provide complete, accurate, and current
information and to update that information whenever it changes.
You are responsible for protecting your username, password, verification code, and other account
credentials and for all activity conducted through your account.
You must notify us promptly at [security email address] if you believe your account has been accessed or used without authorization.

6. Identity and Account Verification

We may use email confirmation, telephone verification, identity documents, business records,
ownership information, professional-license details,
or other reasonable methods to review an account or listing. Verification measures may reduce
certain risks, but they do not constitute an endorsement,
background investigation, guarantee of honesty, confirmation of title, or promise that a user
will perform an agreement. Users remain responsible for
conducting their own investigations before communicating, paying, signing documents, or transferring property.

7. Property-Listing Authority

A person who publishes or manages a property listing represents that the person owns the property or has valid permission from the owner,
landlord, developer, brokerage, or other lawful authority to advertise it. Advertisers must be able to
provide evidence of that authority when reasonably
requested. Publishing a property without authorization, impersonating an owner or agent, copying another advertiser’s listing,
or offering property that does not exist is strictly prohibited.

8. Accuracy of Listings

Advertisers are responsible for ensuring that listing descriptions, locations, prices, fees, dimensions, photographs, videos, availability dates,
amenities, ownership statements, licensing disclosures, and other information are accurate and not misleading. Material conditions, known restrictions,
mandatory charges, and other legally required disclosures must not be concealed. A listing must be corrected, marked unavailable, or removed promptly
when its information changes or the property is sold, leased, withdrawn, or no longer available.

9. Photographs and Visual Media

Photographs, videos, floor plans, maps, virtual tours, and other media must accurately represent the advertised property and must not create a
materially false impression. Users may make ordinary improvements to lighting, cropping, color balance, or image clarity, but they must not use
editing software or artificial intelligence to invent rooms, remove permanent defects, alter property boundaries, misrepresent views,
add nonexistent features,
or conceal conditions that would influence a reasonable customer’s decision. Digitally staged or concept images must be clearly
identified when their presentation could otherwise mislead viewers.

10. Fair Housing and Nondiscrimination

All housing advertisements and user conduct must comply with applicable fair-housing and antidiscrimination laws. Listings, messages,
targeting selections, screening practices, and transaction decisions must not express or imply an unlawful preference, limitation, exclusion,
or disadvantage based on race, color, national origin, religion, sex, familial status, disability, or any additional characteristic protected under
state or local law. We may reject or remove content that appears discriminatory, even when the advertiser claims that discriminatory
language or targeting was unintentional.

11. Licensed Real Estate Professionals

Brokers, agents, property managers, appraisers, mortgage professionals, and other regulated users are responsible for maintaining every
license, registration, authorization, supervision arrangement, and disclosure required in each jurisdiction where they operate. A professional
listing must identify the advertiser, brokerage affiliation, license information, and other details whenever applicable law or professional rules
require them. Soireenews Real Estate does not independently guarantee that a person claiming professional status is properly licensed or in good standing.

12. Buyer and Renter Responsibilities

Buyers and renters must carefully evaluate every property and advertiser before entering a transaction. You should independently confirm the property’s
identity, physical condition, availability, ownership, title, zoning, boundaries, taxes, liens, permits, utilities, association obligations, rental terms,
neighborhood conditions, and other matters important to your decision. You should not rely solely on a listing, message, photograph, automated estimate,
map, or statement appearing on the Platform.

13. Inspections, Documents, and Legal Review

Users should arrange appropriate in-person or professionally conducted property inspections before making a payment or signing an agreement.
Buyers, renters, and investors should review deeds, leases, title records, surveys, inspection reports, licenses, identification documents,
and other relevant materials with qualified professionals. Soireenews Real Estate does not authenticate documents submitted privately between users
and is not responsible for forged, altered, expired, incomplete, or misleading records.

14. Payments and Fraud Prevention

Do not send money, cryptocurrency, gift cards, deposits, application fees, or sensitive financial information to an unknown party without
independently confirming the person’s identity and legal authority. Users should be especially cautious when an advertiser refuses an inspection,
demands immediate payment, offers unusually favorable terms, communicates only through untraceable channels, or requests payment to an unrelated person
or foreign account. Unless the Platform expressly identifies a transaction as being processed by Soireenews Real Estate, payments arranged
between users occur outside our control and at the users’ own risk.

15. Platform Fees and Paid Services

We may charge fees for premium listings, featured placement, advertising packages, subscriptions, promotional tools, verification services, or
other optional features. The applicable price, duration, taxes, renewal conditions, and material limitations will be presented before purchase.
Except where a refund is required by law or expressly provided under a published refund policy, charges for services already delivered,
activated, displayed, or consumed may be nonrefundable.

16. Recurring Subscriptions

If you purchase an automatically renewing subscription, you authorize us or our payment processor to charge the applicable fee and taxes at
each renewal period until cancellation. You may cancel through the available account controls or by contacting [billing email address],
subject to any cancellation deadline displayed during enrollment. Cancellation ordinarily prevents future renewals but does not automatically
produce a refund for a current billing period that has already begun.

17. Third-Party Payment Processors

Payment services may be provided by independent payment processors. Your transaction may therefore be subject to the processor’s separate terms,
privacy practices, security procedures, verification requirements, and transaction limits. We are not responsible for a processor’s independent
interruption, refusal, reversal, account restriction, currency conversion, or security incident, except to the extent responsibility
cannot legally be excluded.

18. Prohibited Conduct

You may not use the Platform to commit fraud, impersonate another person, advertise property without authority, misrepresent a property,
discriminate unlawfully, harass users, collect information for unlawful purposes, distribute malware, send unsolicited bulk messages,
manipulate reviews, evade fees, interfere with security controls, test vulnerabilities without permission, scrape data through unauthorized
automated means, or violate another person’s privacy or intellectual-property rights. You also may not use the Platform to advertise unlawful
occupancy arrangements, fraudulent investments, deceptive financing, illegal goods, criminal services, or any activity prohibited by applicable law.

19. User Communications

Messaging and contact features are provided to support legitimate property-related communications. Users must communicate professionally and
must not send threats, discriminatory remarks, sexual content, deceptive offers, unrelated promotions, or repeated unwanted messages. We may
review or preserve communications when reasonably necessary for security, fraud prevention, policy enforcement, legal compliance, or the investigation
of a complaint, subject to applicable law and our Privacy Policy.

20. User-Submitted Content

You retain ownership of original photographs, descriptions, videos, reviews, and other content you lawfully submit. By publishing content on
the Platform, you grant Soireenews Real Estate a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, format,
resize, display, distribute, promote, and otherwise use that content as reasonably necessary to operate, secure, advertise, and improve the Platform.
This license continues while the content remains available and for a reasonable period afterward for backups, legal records,
fraud prevention, and materials already distributed.

21. Your Responsibility for Submitted Content

You represent that you own your submitted content or possess all permissions required to use and authorize its use. Your content must not violate
copyrights, trademarks, privacy rights, publicity rights, contractual restrictions, confidentiality obligations, database rights, or other legal
protections. You are responsible for claims arising from content you upload, publish, transmit, or authorize another person to submit through your account.

22. Platform Intellectual Property

The Soireenews Real Estate name, logos, interface, page arrangement, original text, software, databases, graphics, and other Platform materials
are owned by or licensed to Soireenews Real Estate and are protected by applicable intellectual-property laws. These Terms give you a limited,
revocable, nonexclusive, nontransferable right to access the Platform for its intended purposes. You may not copy, sell, license, republish,
reverse engineer, remove ownership notices from, or create unauthorized derivative works from protected Platform materials.

23. Copyright Complaints

If you believe content on the Platform infringes your copyright, send a written notice to our designated copyright contact at [copyright
email and mailing address]. The notice should identify the protected work, identify the allegedly infringing material and its location,
provide your contact information, contain a good-faith statement that the disputed use is unauthorized, and include a statement that the
information is accurate and that you are authorized to act for the rights holder. We may remove or restrict disputed material and may
terminate accounts belonging to repeat infringers where appropriate.

24. Reviews and Public Contributions

Reviews, ratings, comments, and reports must reflect genuine experiences and must not be purchased, fabricated, manipulated, or
submitted to harm a competitor. We may remove contributions that contain confidential information, unsupported accusations, harassment,
advertising, irrelevant material, or other prohibited content. The opinions expressed by users belong to those users and do not
necessarily represent the views of Soireenews Real Estate.

25. Listing Review and Moderation

We may review, approve, reject, edit for formatting, reduce visibility of, suspend, or remove any listing or user content when reasonably
necessary to enforce these Terms, respond to complaints, reduce fraud, comply with legal obligations, or protect users and the Platform.
Moderation does not make us responsible for discovering every error or unlawful act. The presence of a listing does not mean that we have
inspected the property, authenticated its owner, approved its price, or guaranteed the advertiser.

26. Reporting Suspicious Activity

Users should report suspected fraud, unauthorized listings, discrimination, intellectual-property violations, threats, or other misconduct
through [reporting link or email address]. Reports should include relevant listing links, account information, messages, payment requests,
screenshots, and other available evidence. We may investigate, preserve information, restrict accounts, remove content, or refer a matter to
appropriate authorities, but we cannot promise a particular result or disclose confidential investigative details.

27. Third-Party Services and Links

The Platform may contain links to mortgage providers, insurers, inspectors, title companies, attorneys, moving companies, mapping services,
social-media platforms, advertisers, or other third parties. These parties operate independently and may apply separate terms and privacy practices.
A link, advertisement, integration, or mention does not automatically constitute our endorsement, and users should independently
evaluate third-party qualifications and services.

28. Advertising and Sponsored Placement

Some content may receive paid, sponsored, featured, or promoted placement. Such placement affects visibility but does not constitute
a guarantee that the property, advertiser, investment, product, or service is reliable, lawful, suitable, or superior. Advertisers are
responsible for ensuring that promotional claims are truthful, adequately supported, clearly disclosed, and compliant
with advertising and real estate laws.

29. Automated Features and Estimates

The Platform may provide automated suggestions, property comparisons, estimated values, search rankings, translations,
summaries, or other technology-assisted features. These outputs may be incomplete, delayed, or inaccurate and should not
replace an appraisal, inspection, survey, title search, legal opinion, or professional market analysis. Users remain
responsible for verifying information before relying on it.

30. Service Availability

We aim to maintain reliable access but do not guarantee that the Platform will always be available, uninterrupted,
secure, or free from errors. Maintenance, technical failures, cyberattacks, third-party outages, legal requirements,
or circumstances beyond our reasonable control may interrupt or limit services. We may change, suspend, discontinue,
or introduce features at any time, subject to applicable law and any specific obligations connected to paid services.

31. Account Suspension and Termination

We may warn, restrict, suspend, or terminate an account if we reasonably believe the user has violated these Terms,
created legal or security risk, engaged in fraud, failed to pay applicable charges, abused another user, or used the
Platform in a manner harmful to its operation or reputation. Serious or urgent violations may result in immediate action
without advance notice. Users remain responsible for obligations and charges incurred before termination.

32. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform is provided on an “as available” and “as is” basis. Soireenews
Real Estate does not guarantee the accuracy of user listings, the identity or conduct of users, property condition,
transaction completion, investment performance, financing approval, tenant suitability, title quality, legal compliance,
or the availability of a particular property. Nothing in these Terms excludes a warranty or consumer
protection that applicable law does not permit us to exclude.

33. Limitation of Liability

To the fullest extent permitted by law, Soireenews Real Estate and its owners, officers, employees, contractors,
and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses
arising from Platform use, user conduct, listing inaccuracies, failed transactions, lost profits, lost data,
property damage, personal injury, fraud, or third-party services. Where liability cannot be excluded, our total
liability will be limited to the greater of the amount you paid directly to us during the six months preceding
the event giving rise to the claim or one hundred U.S. dollars, unless applicable law requires a different amount.

34. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Soireenews Real Estate and
its owners, officers, employees, contractors, and affiliates from claims, losses, penalties, costs, and reasonable
legal expenses arising from your listings, submitted content, property transactions, misuse of the Platform, violation
of these Terms, violation of law, or infringement of another party’s rights. This obligation does not apply to losses caused solely
by conduct for which Soireenews Real Estate may not legally disclaim responsibility.

35. Privacy and Data Protection

Our collection, use, retention, and disclosure of personal information are governed by our Privacy Policy. By using
the Platform, you acknowledge that online services involve data processing necessary for account administration,
communications, security, fraud prevention, payment handling, analytics, and legal compliance. You must not collect,
sell, publish, or misuse another user’s personal information obtained through the Platform.

36. Electronic Communications

You agree that we may send transactional communications relating to registration, verification, listings, security,
billing, support, policy changes, and Platform operations electronically. Marketing messages will be managed according
to applicable law and available preference controls. Electronic notices satisfy
written-notice requirements to the extent permitted by law.

37. Governing Law

These Terms are governed by the laws of the State of [State], without regard to conflict-of-law principles.
Federal law will apply where it controls the matter. Mandatory consumer rights or other
protections that cannot legally be waived remain unaffected.

38. Dispute Resolution

Before filing a formal legal claim, you and Soireenews Real Estate agree to make a reasonable attempt to resolve the dispute
by sending a written description of the issue and requested solution to [legal email and mailing address]. If the dispute is
not resolved within thirty days after receipt, either party may pursue available remedies in the state or federal courts located in
[County, State], unless applicable law grants the user the right to bring the matter elsewhere. Each party consents to the
jurisdiction of those courts, subject to nonwaivable legal rights.

39. Changes to These Terms

We may revise these Terms to reflect changes in our services, business practices, security needs, or legal obligations.
Updated Terms will be posted with a revised effective date, and material changes may also be communicated through an account notice,
email, or prominent Platform announcement. Continued use after revised Terms become effective constitutes acceptance where permitted
by law; when affirmative consent is legally required, we will request it.

40. Severability and No Waiver

If a court determines that a provision of these Terms is unlawful or unenforceable, that provision will be interpreted or
limited to the minimum extent necessary, and the remaining provisions will continue in effect. Our failure to enforce a provision
on one occasion does not waive our right to enforce it later. A waiver is effective only when issued in writing by an authorized representative.

41. Assignment

You may not transfer your account or assign your rights or obligations under these Terms without our prior written consent.
We may assign these Terms as part of a merger, restructuring, financing, asset transfer, acquisition, or sale of the Platform,
provided that any assignment remains subject to applicable law.

42. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, Copyright Policy, Community Standards,
listing rules, and any service-specific conditions presented to you, constitute the agreement governing your use of the Platform.
If service-specific terms conflict with these general Terms, the service-specific terms will control only for that particular service.
